Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and QIO ("Company", "we", "us", or "our") concerning your access to and use of the QIO business management platform and related services.

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our platform or use our services.

Account Registration

Eligibility

To use QIO, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Not be prohibited from using our services under applicable laws

Account Security

You are responsible for:

• Maintaining confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring all information provided remains accurate and up-to-date

Subscription and Billing

Acceptable Use Policy

You agree not to use the QIO platform to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the platform's operation
• Use the platform for fraudulent or illegal activities
• Harass, abuse, or harm other users
• Reverse engineer or attempt to extract source code
• Resell or redistribute our services without permission
• Use automated systems to access the platform excessively

User Content and Data

Your Content

You retain all ownership rights to the data and content you upload to the platform ("User Content"). By uploading User Content, you grant us a limited license to store, process, and display such content solely to provide our services.

Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of User Content. We are not liable for any loss or corruption of User Content.

Content Standards

Your User Content must not:

• Contain illegal, harmful, or offensive material
• Violate privacy rights or confidentiality obligations
• Infringe intellectual property rights
• Contain viruses or malicious code

Intellectual Property Rights

The QIO platform, including all software, features, content, and trademarks, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms.

Important: You may not copy, modify, distribute, sell, or lease any part of our platform or included software without express written permission.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Suspend service temporarily for emergency maintenance
• Modify or discontinue features with reasonable notice
• Implement usage limits to ensure fair platform performance

Termination

Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access until that time.

Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms of Service
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Abuse or misuse the platform

Effect of Termination

Upon termination, your right to access the platform ceases immediately. We will retain your data for 30 days, after which it will be permanently deleted. You may request a data export before termination.

Limitation of Liability

To the maximum extent permitted by law:

• We provide the platform "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the past 12 months
• We are not responsible for third-party services or integrations
• You use the platform at your own risk

Note: Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such cases, our liability will be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless QIO and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

Dispute Resolution

Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dubai, UAE.

Informal Resolution

Before filing a legal claim, you agree to first contact us at legal@qio.ae to attempt to resolve the dispute informally.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days before they take effect. Your continued use of the platform after changes become effective constitutes acceptance of the modified Terms.

General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and QIO
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: We are not liable for delays caused by events beyond our reasonable control
